Terms of Service

1. The Service

TupicFinance is an internal financial-management platform provided exclusively for the Tupic platform and its ecosystem. It allows authorized organizations and teams within the platform to record and review internal financial information — such as costs, revenue, assets, payroll, and related operational reporting — in one consistent environment.

TupicFinance is offered solely as a capability of the Tupic platform. It is not a public accounting product, a bookkeeping service, an ERP, or a financial service for external or unaffiliated companies.

2. Eligibility and Accounts

You may use the Service only if you are an authorized user operating within the Tupic platform and you are of legal age to enter into a binding agreement. You access the Service through the platform’s authentication (single sign-on). You are responsible for maintaining the confidentiality of your access and for all activity that occurs under your account.

3. Permitted Use

You agree to use TupicFinance only:

• within the Tupic platform and its ecosystem;
• for legitimate internal operational and reporting purposes of your associated organization;
• in compliance with these Terms and all applicable laws.

4. Intended Scope and Restrictions — Please Read Carefully

TupicFinance is provided exclusively for internal use within the Tupic platform and its ecosystem. It is not intended for, and must not be used as, the financial or accounting system of external or unaffiliated companies.

You specifically agree that you will not:

• use the Service to manage, record, or operate the financial or accounting operations of any external or unaffiliated company;
• upload or enter the financial records, books, or corporate financial data of external parties;
• enter data that you are not authorized to process;
• use the Service in any way that violates applicable law or the rights of others;
• attempt to access data of other organizations, circumvent access controls, or interfere with the Service’s operation;
• reverse engineer, resell, sublicense, or commercially redistribute the Service.

You are solely responsible for ensuring that your use stays within this intended scope.

5. Your Data and Responsibility

You — and the organization you represent — are solely responsible for the information you enter into the Service, including its accuracy, completeness, lawfulness, and appropriateness.

We do not accept responsibility for data that originates outside the platform’s intended ecosystem scope, including the financial or corporate data of external companies. If such data is entered into the Service, it is entered at your own risk and remains entirely your responsibility, and you agree to indemnify and hold us harmless from any claims, losses, or liabilities arising from it.

6. Not Professional Advice; No Official or Audited Output

TupicFinance is an internal operational tool. It is not:

• a certified or audited accounting system;
• a tax-filing, regulatory, or compliance tool;
• a substitute for professional accounting, audit, tax, or legal advice.

Any reports the Service produces (including Profit & Loss, Balance Sheet, Cash Flow, or similar) are generated for internal visibility within the platform only. They are not audited or certified, are not guaranteed to conform to any accounting standard or regulatory requirement, and must not be relied upon as official financial statements. You are responsible for your own accounting, tax, and compliance obligations through appropriate qualified professionals and authorized systems.

7. Availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted, error-free, or secure operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

8. Intellectual Property

The Service, including its software, design, and content (excluding data you enter), is owned by us or our licensors and is protected by applicable intellectual-property laws. These Terms do not grant you any ownership rights in the Service. You retain responsibility for the data you enter, and you grant us the rights necessary to host and process that data solely to provide the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT RESULTS OBTAINED FROM IT WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF — OR INABILITY TO USE — THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES ANY DAMAGES ARISING FROM DATA ENTERED OUTSIDE THE INTENDED ECOSYSTEM SCOPE.

11. Indemnification

You agree to indemnify, defend, and hold harmless TupicFinance and its operators from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your data, or your violation of these Terms — including any use of the Service outside its intended ecosystem scope.

12. Suspension and Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, use the Service outside its intended scope, or to protect the Service, its users, or the platform. Upon termination, your right to use the Service ceases.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates, unless otherwise required by applicable law.
